These Terms of Service ("Terms") govern your access to and use of QuantumStream's fleet intelligence platform and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.
Subject to your compliance with these Terms, QuantumStream grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during your subscription term.
You agree not to:
You retain all ownership rights to the data you upload or provide to the Services ("Customer Data"). You grant QuantumStream a limited license to process, store, and analyze your Customer Data solely to provide the Services and improve our platform.
QuantumStream may create anonymized, aggregated data from Customer Data for purposes including analytics, benchmarking, and service improvements. This aggregated data does not identify you or your devices and is owned by QuantumStream.
You represent that you have the necessary rights to provide Customer Data to QuantumStream and that such data does not violate any third-party rights or applicable laws.
QuantumStream will use commercially reasonable efforts to maintain 99.9% uptime for the Services, measured monthly. Scheduled maintenance windows and force majeure events are excluded from uptime calculations.
Support levels vary by subscription tier:
You agree to pay all fees associated with your subscription tier as specified in your order agreement. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.
Additional charges may apply for usage beyond your plan limits (e.g., devices monitored, data storage, API calls). You will be notified of overage charges before they are incurred.
Payment is due upon receipt of invoice. Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend Services for non-payment after 15 days' notice.
QuantumStream may modify pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle. Continued use of the Services after price changes constitutes acceptance.
The Services, including all software, algorithms, models, designs, text, graphics, and other content, are owned by QuantumStream and protected by copyright, trademark, patent, and other intellectual property laws. All trademarks, service marks, and trade names are proprietary to QuantumStream.
You acknowledge that the predictive models, root cause analysis algorithms, and edge processing methods constitute valuable trade secrets and proprietary technology of QuantumStream.
QuantumStream warrants that the Services will perform substantially in accordance with documentation provided. This warranty is valid for 90 days from initial subscription date.
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
Important: While our platform achieves 88% prediction accuracy and 84% RCA precision, no predictive system is 100% accurate. You remain responsible for fleet safety and operational decisions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTUMSTREAM'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
IN NO EVENT SHALL QUANTUMSTREAM BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless QuantumStream from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your Customer Data, or (d) your violation of any third-party rights.
Your subscription begins on the date specified in your order and continues for the selected term (monthly or annual), automatically renewing unless canceled.
You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing period. No refunds will be provided for partial periods.
QuantumStream may suspend or terminate your access to the Services immediately if you: (a) breach these Terms, (b) fail to pay fees, (c) engage in fraudulent activity, or (d) pose a security risk.
Upon termination, your access to the Services will cease. You may export your Customer Data within 30 days of termination, after which it will be deleted. Provisions regarding intellectual property, confidentiality, liability limitations, and dispute resolution survive termination.
Each party agrees to protect the confidential information of the other party with the same degree of care used for its own confidential information, but no less than reasonable care. Confidential information includes:

Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in [Location] and the decision shall be final and binding.
You agree to resolve disputes with QuantumStream on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.
These Terms, together with your order agreement and Privacy Policy, constitute the entire agreement between you and QuantumStream regarding the Services.
QuantumStream may modify these Terms at any time. We will provide notice of material changes via email or platform notification at least 30 days before they take effect. Continued use after changes constitutes acceptance.
You may not assign or transfer these Terms without prior written consent from QuantumStream. QuantumStream may assign these Terms in connection with a merger, acquisition, or sale of assets.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
QuantumStream shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, natural disasters, pandemics, or failures of third-party infrastructure providers.
